Meeting Notice of Annual General Shareholders' Meeting (Summary Translation)

I. The 2026 Annual General Shareholders' Meeting (the "Meeting") of TAIWAN PAIHO LIMITED (the "Company") will be convened at 9:00 a.m., June 9, 2026 at Location of the Company (No.575, Hogang Rd., Haoxiu Vil., Hemei Township, Changhua County, Taiwan.) [The shareholders' registration will begin at 8:30 am., and the registration venue is the same as the meeting venue.]

The agenda for the Meeting is as follows:

  1. Report Items

(1) 2025 Business Report.
(2) Audit Committee's review report of 2025.
(3) To report on 2025 employees' compensation and remuneration to directors.
(4) To report the cash dividends of 2025 earnings distribution.
(5) To report the endorsements/guarantees amount of the Company and its subsidiaries accounted for more than 50% of the net worth.

  1. Ratification Items

(1) Adoption of the 2025 Business Report and Financial Statements.
(2) Adoption of the proposal for distribution of 2025 profits.

  1. Election Items

(1) Election of the 15th Directors of the Company.

  1. Proposed Resolutions

(1) To lift the non-compete restrictions on the newly appointed directors and their representatives of the Company.

  1. Extemporary Motions

II. The proposal for distribution of 2025 earnings is as follows:

Cash dividends to shareholders totals NT$893,891,706 with NT$3 per share.


III.

  1. It is proposed to re-elect night directors (including four independent directors) at the 2026 General Shareholders’ Meeting.

  2. The candidates list in accordance with the candidates’ nomination mechanism: Director Cheng-Wei Cheng (Representative of Everise Investment Co., Ltd.), Director Cheng-Tsung Cheng (Representative of Everise Investment Co., Ltd.), Director Shuei-Jin Chen, Director Kuei-Chu Yeh, Director Yi-Lun Cheng, Independent Director Jui-Lin Lo, Independent Director Yin-Chieh, Hsu, Independent Director Chun-Chieh Tseng, and Independent Director Chen-Ting Su.

  3. Information for the candidates’ education and working experience, please refer to the website: (https://mops.twse.com.tw).

IV. Pursuant to Article 172 of the Company Act, the material contents may be uploaded onto the Market Observation Post System (MOPS). (MOPS’s website: https://mops.twse.com.tw)

V. If the shareholder(s) is attending the meeting in person, please sign or stamp on the attendance (in-person) check-in card and submit it to the check-in desk on the day of the meeting. If an agent is entrusted to attend the meeting on behalf of the shareholder, the shareholder shall sign or stamp on the proxy form and personally fill out the name and address of the agent, then deliver the proxy form to the Transfer Agency Department of CTBC Bank at least 5 days prior to the day of the meeting so that the attendance (proxy) check-in card can be sent to the agent accordingly.

VI. If a proxy is solicited by the shareholder(s), the Company is required to compile details on the proxy solicitation parties and disclose such information on the Securities & Futures Institute (SFI) website on May 8, 2026. Shareholder(s) can access information on the “Free proxy disclosure & related information system” (https://free.sfi.org.tw), by entering the required search criteria.

VII. Shareholders may exercise their voting rights through the eVote platform of Taiwan Depository & Clearing Corporation (https://stockservices.tdcc.com.tw) during the period from May 10, 2026 to June 6, 2026.

VIII. New shareholders who intend to submit a signature card can download it from our transfer agent’s website, CTBC “Trust Online Banking.”

IX. The Transfer Agency Department of CTBC Bank is the proxy tallying and verification institution for this annual general meeting.

X. These regulations should be abided and applied.
