The securities to be registered hereby are the ordinary shares, no par value per share (the “Ordinary Shares”) of Taboola.com Ltd. (formerly ION Acquisition Corp. 1 Ltd.) (the “Company”) and warrants to purchase Ordinary Shares (the “Warrants”). The description of the Ordinary Shares and Warrants contained under the headings “Description of Taboola Ordinary Shares” and “Description of Taboola Warrants” in the registration statement initially filed with the Securities and Exchange Commission on April 30, 2021, as amended from time to time (File No. 333-255684) (the “Registration Statement”) to which this Form 8-A relates is incorporated herein by reference.
