Merger Update - Timing of further consideration by the Australian Competition Tribunal

Brisbane, 26 September, 2017 - Tatts Group Limited ( Tatts ) advises that the Australian Competition Tribunal ( Tribunal ) today set a proposed timetable for its reconsideration and determination of Tabcorp Holdings Limited’s ( Tabcorp ) application for authorisation for the combination of Tatts and Tabcorp ( Proposed Transaction ).

The Tribunal will proceed on the basis that it has jurisdiction to undertake further consideration of Tabcorp’s existing application for authorisation, as ordered by the Full Federal Court. The Tribunal has today allocated hearing dates on 24 and 25 October 2017. Tabcorp has indicated that it will also lodge a new application for authorisation which is expected to be considered concurrently with the existing authorisation application. Tatts will continue to work with Tabcorp to progress the competition approval process.

As previously advised, a Tatts shareholder meeting to consider and vote on the Proposed Transaction ( Scheme Meeting ) is currently scheduled to be held on Wednesday, 18 October 2017. Tatts and Tabcorp are considering the potential consequences for the timing of the Proposed Transaction and Scheme Meeting in light of the Tribunal’s indicative timetable and further information, including any changes to the indicative timetable, will be provided by Tatts once available.
