The sender is solely responsible for the contents of this announcement. ——————————————————————————– ISIN DE0005104806 / WKN 510 480 syzygy AG / Prime Standard Corporate News Bad Homburg October 20th, 2003 The annual general meeting of syzygy AG had resolved on June 4th, 2003 to reduce capital by the amount of EUR 1.50 per share for 100% of the present votes; this has led to a special distribution of EUR 1.50 per share. The resolutions of the general meeting were then submitted to the responsible court in Bad Homburg for entry. The entry into the commercial register was carried out on August 13th, 2003. The entries of the commercial register were announced on October 9th, 2003. According to §225, 2 AktG (German Companies Act) the special distribution can be carried out only after a period of 6 months after the announcement so that the anticipated date of distribution is expected on April 13th, 2004. The beneficiaries must have their syzygy shares in their deposit account on the trading day before the special distribution (April 8th, 2004) to be recorded by Clearstream. It is critical that shareholders hold syzygy shares in their deposit account on the day when Clearstream records shareholders. The special distribution is then carried out and expected on April 13, 2004. Since the special distribution is carried out from the capital stock, capital gains tax as well as solidarity surcharges will not be deducted; the special distribution is tax free for private investors in Germany who were invested with less than 1% of the share capital (120,000 shares) in the past.
