Result of General Meeting and Completion of Acquisition

SysGroup, the award winning managed IT services and cloud hosting provider, announces, further to the announcement on 6 February 2019, that all resolutions proposed at the General Meeting of the Company held earlier today were approved and that the acquisition of Certus IT Limited  is scheduled to complete on or around 25 February 2019.

Total voting rights

Application has been made to the London Stock Exchange for the Placing Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission become effective at 8.00 a.m. on Monday 25 February 2019. Following Admission, the Company's issued share capital will consist of 49,419,690 Ordinary Shares each carrying one right to vote. The Company does not hold any Ordinary Shares in treasury.

The figure of 49,419,690 Ordinary Shares may therefore be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
