(b) Departure of Officer

On January 8, 2014, Brian E. Cabrera, General Counsel and Corporate Secretary of Synopsys, Inc. (“ Synopsys ”), notified Synopsys that he will resign effective January 31, 2014. Until such effective date, Mr. Cabrera will continue to perform his duties and will assist Synopsys on transitional matters relating to his functions.
