COMPLETION OF THE DISCLOSEABLE AND CONNECTED TRANSACTION IN RELATION TO THE ACQUISITION OF THRIVE UNITED HOLDINGS LIMITED

The Board is pleased to announce that the Acquisition was completed on 30 September 2014 in accordance with the terms of the S&P Agreement.

Reference is made to the announcement of Synertone Communication Corporation (the ‘‘Company’’) dated 26 September 2014 (the ‘‘Announcement’’) in relation to a discloseable and connected transaction regarding the acquisition by the Purchaser of 100% of the issued share capital of Thrive United from the Vendor. Unless otherwise defined herein, capitalized terms used in this announcement shall have the same meanings as those defined in the Announcement.

The Board is pleased to announce that all conditions precedent for the S&P Agreement has been satisfied and the sale and purchase of the Sale Share has been completed on 30 September 2014 pursuant to the terms of the S&P Agreement. Following the Completion, Thrive United has become an indirect wholly-owned subsidiary of the Company, and the financial results of the Thrive United Group will be consolidated into the Group.
