Announcement – Unusual Price Movement and Price Sensitive Information

This statement is made at the request of The Stock Exchange of Hong Kong Limited ( “Stock Exchange” ).

The board of directors (the “Board” ) of OP Financial Investments Limited (the “Company” ) has noted the increase in price of the shares of the Company today and wishes to state that, save as disclosed in this announcement, the Board is not aware of any reasons for such increases.

The Board wishes to advise that the Company is in negotiation with (1) certain parties in Hong Kong in relation to an acquisition of a minority stake in a Hong Kong based asset management company; and (2) a leading fund management company in China in relation to an establishment of a joint venture company in Hong Kong. However, no definitive or legally binding agreements have been signed by the Company as at the date of this announcement. The Board wishes to emphasize that such negotiations are still in progress and that the subject transactions may or may not proceed. Further announcement will be issued by the Company for any update of the transactions when necessary.

Save as disclosed in this announcement, the Board confirms that there are no negotiations or agreements relating to intended acquisitions or realizations which are discloseable under the Rule 13.23, neither is the Board aware of any matter discloseable under the general obligation imposed by Rule 13.09, which is or may be of a price-sensitive nature.

As at the date of this announcement, the Board comprises two executive directors, namely, Mr Zhang Zhi Ping and Mr. Zhang Gaobo; two non-executive directors, namely, Mr. Liu Hongru and Mr. Zhang Huaqiao; and three independent non-executive directors, namely, Mr. Kwong Che Keung, Gordon, Professor He Jia and Mr. Wang Xiaojun.
