ARRANGEMENT UNDER INCLEMENT WEATHER CONDITIONS FOR THE ANNUAL GENERAL MEETING TO BE HELD ON 26 AUGUST 2022

Reference is made to the circular (the ‘‘Circular’’) and notice of the AGM (the ‘‘Notice’’) of Wealthking Investments Limited (the ‘‘Company’’) dated 27 July 2022. Unless otherwise stated, capitalised terms used herein shall bear the same meanings as defined in the Circular and the Notice.

According to the Notice, the AGM is scheduled to be convened at 11:00 a.m. on Friday, 26 August 2022 at 41/F., One Exchange Square, 8 Connaught Place, Central, Hong Kong. Owing to the approach of a tropical cyclone, there is a risk that Hong Kong may be under the influence of inclement weather conditions at the time originally scheduled for the AGM.

In view of the possible inclement weather conditions, the Company would like to announce that:

1. in the event Typhoon Signal No. 8 (or above) or Black Rainstorm Warning Signal is hoisted or issued but lowered at or before 8:00 a.m. on Friday, 26 August 2022, the AGM will be held as scheduled; and

2. in the event Typhoon Signal No. 8 (or above) or Black Rainstorm Warning Signal remains hoisted or in effect at 8:00 a.m. or the Hong Kong Observatory has issued a pre-no. 8 special announcement to give advance notice that the Typhoon Signal No. 8 is expected to be hoisted during the period from 8:00 a.m. to 11:00 a.m. on 26 August 2022, the AGM will be adjourned to 11:00 a.m. on Monday, 29 August 2022 at the same venue.

If the AGM is so adjourned, the resolutions set out in the Circular and the Notice to be proposed at the AGM will remain unchanged, and such resolutions will be proposed at the adjourned AGM. All forms of proxy deposited with the Company’s branch share registrar in Hong Kong, Tricor Abacus Limited, for the purposes of the AGM will remain valid for the adjourned AGM.

The record date for ascertaining entitlement of the Shareholders to attend and vote at the AGM will remain unchanged.

Shareholders should make their own decision as to whether they wish to attend the AGM under inclement weather conditions, at their own risk having regard to their own situation; and if they should choose to do so, they are advised to exercise care and caution.
