Sub: Reappointment of Independent Director
Dear Sir,
We wish to inform you that the current term of office of Mr. Naishadh Parikh as an Independent Director of the Company expires on August 13, 2020.
Pursuant to provisions of Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and as recommended by the Nomination and Remuneration Committee, we wish to inform you that the board of directors at their meeting held today, approved the reappointment of Mr. Naishadh Parikh as an Independent Director of the Company for a further period of 5 years effective August 14, 2020 and to hold office till August 13, 2025 and that he shall not be liable to retire by rotation during the said tenure.
Please note that reappointment of Mr. Parikh shall be subject to approval of shareholders by way of special resolution in their ensuing Annual General Meeting.
Mr. Naishadh Parikh is not debarred from holding the office of a director by virtue of any order of SEBI or any other authority.
Mr. Parikh is not related to any of the Directors or Key Managerial Personnel or Promoters of the Company.
Brief profile of Mr. Parikh proposed to be reappointed is enclosed.

Brief Profile of Mr. Naishadh Parikh
Mr. Naishadh Parikh is an Entrepreneur-Manager with education in the areas of Science & Management and a track record of more than 40 years in performing various roles at corporate level in diverse sectors viz. Air-conditioning & Refrigeration, Textile & Engineering.
Mr. Parikh is currently Chairman & Managing Director, Equinox Solutions Limited and Director AIA Engineering Limited. Mr. Parikh was a Director at Arvind Limited and associated for 20 years. He was also the Founder & Managing Director of Amtrex Hitachi Appliances Limited (now Johnson Controls-Hitachi Air Conditioning India Limited).
Additionally, Mr. Parikh is active in the field of education and is the Honorary Secretary of Ahmedabad Education Society (AES) and a Member of the Governing Board of 2 Universities promoted by AES viz. Ahmedabad University and CEPT University.
