Sub: Cessation of term of an Independent Director

Dear Sir,

This is to inform you that Mr. Dipak Palkar (DIN: 00475995), has been an Independent director of the Company since the last ¹⁴ (fourteen) years. As per the provisions of the Companies Act, 2013, he was appointed as an Independent Director of the Company for ^a term of ⁵ years w.e.f. August 20, 2014 and accordingly his current term is expiring on August 19, 2019.

Mr. Dipak Palkar has conveyed his desire not to seek re-appointment as an Independent Director of the Company for another term due to his frequent and extensive overseas travelling and stays in the last two years. Accordingly, as per the request received from Mr. Palkar, his tenure as an independent director of the Company shall come to an end on August 19, 2019. The Company wishes to place on record its gratitude to him for his valuable inputs and guidance over the years.

This is in due compliance of Regulation ³⁰ read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, ²⁰¹⁵ and other applicable provisions, if any.
