PROFIT ALERT

This announcement is made by Symphony Holdings Limited (the “ Company ” and together with its subsidiaries, the “ Group ”) pursuant to Rule 13.09 of the Listing Rules and the Inside Information Provisions under Part XIVA of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong).

The board of directors (“ Board ”) wishes to inform shareholders of the Company and potential investors that based on a preliminary assessment of the unaudited consolidated management accounts for the year ended 31 December 2013, it is expected that the Company may record a profit for the year ending 31 December 2013. The profit is mainly attributable to the reversal of the foreign exchange reserves resulting from the discontinued manufacturing operations and also the gain due to the acquisition of China Ocean Resources Limited and disposal of Grand Wealth Group Limited.

As the Company is still in the process of finalizing the financial statements of the Group for the year ended 31 December 2013, the information contained in this announcement is only based on the preliminary assessment by the Company’s management of the unaudited consolidated management accounts for the year ended 31 December 2013. The audited financial results of the Company for the year ended 31 December 2013 is expected to be announced in late March 2014.
