SYMPHONY HOLDINGS LIMITED (Incorporated in Bermuda with limited liability) ANNOUNCEMENT The board of directors of the Company wish to inform the shareholders of the Company that one of the directors has dealt in shares of Symphony Holdings Limited. This Statement is made at the request of The Stock Exchange of Hong Kong Limited. We have noted the recent increases in the trading volume and the price of the shares of the Company and wish to state that we are not aware of any reasons for such increases. Mr. Chang Tsung Yuan ("Mr. Chang"), one of the directors of the Company, has informed the Company that he has disposed of 23,690,000 shares of the Company, representing approximately 0.56% of the existing issued share capital of the Company, at the prices ranging from HK$0.149 to HK$0.177 on 30th December, 1999, 3rd January and 4th January, 2000. Save for the aforesaid dealings by Mr. Chang, the board of directors confirm that there are no negotiations or agreements relating to intended acquisitions or realisations which are discloseable under paragraph 3 of the Listing Agreement, neither is the Board aware of any matter discloseable under the general obligation imposed by paragraph 2 of the Listing Agreement, which is or may be of a price-sensitive nature.
