SYMPHONY HOLDINGS LIMITED (Incorporated in Bermuda with limited liability) ANNOUNCEMENT The board of directors of the Company wish to inform the shareholders of the Company that a substantial shareholder of the Company has dealt in the shares of the Company. This statement is made at the request of The Stock Exchange of Hong Kong Limited. The Company was informed by Search Asia Pacific (BVI) Limited ("SAP(BVI)"), a substantial shareholder of the Company, that SAP(BVI)'s subsidiaries had disposed of 85,240,000 shares of the Company, representing approximately 2% of the issued share capital of the Company, on 19th January, 2000. Save for the above dealings by SAP(BVI), the Company is not aware of any reasons which resulted in the increases in the price and the trading volume of the shares of the Company on 19th January, 2000. We also confirm that there are no negotiations or agreements relating to intended acquisitions or realisations which are discloseable under paragraph 3 of the Listing Agreement, neither is the Board aware of any matter discloseable under the general obligation imposed by paragraph 2 of the Listing Agreement, which is or may be of a price-sensitive nature.
