Announcement

The board of directors of the Company wish to inform
the shareholders of the Company that directors of the
Company have dealt in the shares of the Company.

This Statement is made at the request of The Stock
Exchange of Hong Kong Limited.

Symphony Holdings Limited ("the Company") was informed
by First Place Limited ("First Place"), a substantial
shareholder of the Company, that it has disposed of
51,500,000 shares in the Company, representing
approximately 13.18% of the trading volume of shares,
at the prices ranging from HK$0.30 to HK$0.33 on 23rd
February, 2000. After the aforesaid disposal, First
Place held approximately 12.98% shareholding interest
in the Company. Each of Mr. Chan Ting Chuen and Mr. Sze
Sun Sun, Tony, both are directors of the Company, is
interested in more than one-third of the issued share
capital of First Place and is deemed to be interested
in shares of the Company held by First Place. Mr. Li
Kwok Lung, Alfred Ronald ("Mr. Li"), a director of the
Company, also informed the Company that he has disposed
of 3,000,000 shares at the price of HK$0.33 on the same
day.

Save for the above dealings by First Place and Mr. Li,
the Company is not aware of any other reasons which
resulted in the increases in price and the trading
volume of the shares of the Company and wish to state
that we are not aware of any reasons for such increases.

We also confirm that there are no negotiations or
agreements relating to intended acquisitions or
realisations which are discloseable under paragraph 3
of the Listing Agreement, neither is the Board aware
of any matter discloseable under the general obligation
imposed by paragraph 2 of the Listing Agreement, which
is or may be of a price-sensitive nature.
