Aabenraa, Denmark, 2016-03-17 17:05 CET (GLOBE NEWSWIRE) -- Today, Sydbank's AGM gathered in Soenderjyllandshallen inAabenraa and adopted the Directors' Report, the Annual Report and the recommendation for the allocation of profit. Sydbank will distribute 70% of the profit, equal to a dividend of DKK 11.12 per share.

Chairman of the Board of Directors Torben Nielsen presented the Directors' Report and expressed satisfaction with the 2015 financial statements which show a profit of DKK 1,148m and a return on shareholders' equity of 10.1% after tax. Moreover Torben Nielsen emphasized the effects of the Bank's profitability plan which has contributed to increasing profitability within the Bank.

The following proposals to amend the Articles ofAssociation were adopted:

-- The Bank's share capital was reduced by DKK 20,098,000. Consequently the

Bank's share capital represents DKK 722,401,990 divided into shares in denominations of DKK 10.

-- The

Board of Directors was authorised to effect a share capital increase with

or without pre-emption rights and by up to 10% of the share capital. The authorisation is given for five years.

• -- In future general meetings of Sydbank shall be convened via the Bank's website only.
• -- The voting ceiling of 5,000 votes was raised to 20,000 votes.

At the AGM three new members were elected and 17 members were re-elected to the Shareholders' Committee, which now counts 66 members.

Ernst & Young, Godkendt Revisionspartnerselskab was re-appointed auditor.
