Item 1.01 Entry into a Material Definitive Agreement.

On June 29, 2021, SWK Holdings Corporation and its wholly-owned subsidiary, SWK Funding LLC, entered into the Second Amendment to Loan and Security Agreement (the “Second Amendment”) with Cadence Bank, N.A. as a lender and the administrative agent. Pursuant to the Second Amendment, the Loan and Security Agreement dated as of June 29, 2018, was amended to extend the Revolver Termination Date (as defined therein) to September 27, 2021.
