Sale of Stanfield Securities Limited
We refer to previous Company announcements on 19 March 2013 and 28 March 2013 with regard to the sale of Stanfield Securities Limited.
Stanfield Funds Management Limited (‘ Stanfield ’) (ASX: SFN) has now signed a Share Sale and Subscription Agreement for the sale of 51% of Stanfield Securities Limited (‘ Stanfield Securities ’) (dated 10 April 2013).
Completion of the agreement is to occur on 29 April 2013 subject to the satisfaction of conditions precedent and the completion of the buyer’s due diligence.
Stanfield Securities, an unlisted public company wholly owned by Stanfield, holds an Australian Financial Services Licence and is responsible entity/trustee of 4 registered schemes/funds with funds under management of approximately $35 million.
Stanfield has sold the 51% stake in Stanfield Securities to Aquaint Properties, a group of property investment, property development and funds management businesses based in Singapore and Malaysia.
The terms of the sale of Stanfield’s 51% stake in Stanfield Securities are:

a special distribution of $150,000 will be paid to Stanfield as the sole shareholder before Completion;

consideration of $100,000 for 51% of the existing issued share capital of Stanfield Securities, payable to Stanfield; and
-
Aquaint Properties will inject capital of $400,000 into Stanfield Securities for additional shares in Stanfield Securities.
It has also been agreed that Stanfield’s remaining holding in Stanfield Securities would be distributed ‘in species’ to Stanfield shareholders if Stanfield Securities is listed on the ASX, subject to any required approvals.
In addition, it has been agreed that upon Completion, Stanfield Securities will enter into a Management Contract with Stanfield for Stanfield’s officers to continue managing Stanfield Securities over the next 12 months. Stanfield will be paid $250,000 for these management services provided to Stanfield Securities.
