Outcome of the Board Meeting held on 26.4.2021

1. Authorization to set up a Wholly Owned Subsidiary

The Board approved the setting up of the Wholly Owned Subsidiary (WOS) in the name and style 'SWELECT HHV Solar Photovoltaics Private Limited' (the name availability of which has been confirmed by the Ministry of Corporate Affairs, Office of the Registrar of Companies, Central Registration Centre vide letter dated 20.4.2021). The WOS will be engaged in Manufacture and Maintenance of Solar Photovoltaic Cells and Modules suitable for Renewable Energy power generation using Indigenous anc.J Imported Technology.

2. Nomination of Directors on the Board of SWELECT HHV Solar Photovoltaics Private Limited

The Board nominated Mr. R. Chellappan, Managing Director, Mr. A. Balan, joint Managing Director and Mrs. V. C. Mirunalini, Whole time Director of the Company to be inducted as Directors on the Board of SWELECT HHV Solar Photovoltaics Private Limited.

The meeting commenced at 03.30 p.111. and concluded at 03.50 p.m.
