PROFIT WARNING

This announcement is made by Icicle Group Holdings Limited (the ‘‘Company’’) and its subsidiaries (collectively, the ‘‘Group’’) pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on GEM of The Stock Exchange of Hong Kong Limited (the ‘‘GEM Listing Rules’’) and the Inside Information Provisions (as defined in the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board (the ‘‘Board’’) of directors (the ‘‘Directors’’) of the Company would like to inform the shareholders of the Company (the ‘‘Shareholders’’) and potential investors that, based on the preliminary review of the unaudited consolidated management accounts of the Group (the ‘‘Management Accounts’’) for the year ended 31 December 2020 and the information currently available to the Group, the Group is expected to record a net loss of approximately HK$0.7 million attributable to the owners of the Company (2019: HK$1.5 million).

The Board considered that the expected loss is mainly attributable to the significant decrease in revenue resulting from delays and cancellation of projects due to the outbreak of the (COVID-19) epidemic.

The Company is still in the process of finalising the annual results of the Group for the year ended 31 December 2020. The information contained in this announcement is based solely on the preliminary review and assessment by the management of the Company with reference to the Management Accounts for the year ended 31 December 2020 along with any other information currently available to the Company, which have not been audited or reviewed by the auditor or the audit committee of the Company and may be subject to adjustments. Further details of the Group’s financial results and performance will be disclosed in the annual results announcement of the Company for the year ended 31 December 2020, which is expected to be published on 22 March 2021.
