Sub.: Allotment of 1,36,47,108 equity shares pursuant to conversion of Bonds forming part of US$ denominated Convertible Bonds due 2032.

Ref.: Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.

This is to inform that the Securities Issue Committee of the Board of Directors of the Company has, at its meeting held on 2[nd] July 2021 (which commenced at 5.00 p.m. and concluded at 5.30 p.m.), approved allotment of 1,36,47,108 (One Crore Thirty Six Lacs Forty Seven Thousand One Hundred Eight) equity shares of the Company bearing distinctive numbers from 9144260568 to 9157907675 and having a face value of Rs.2/- (Rupees Two Only) each on conversion of 1,467 (One Thousand Four Hundred Sixty Seven) US$ denominated Convertible Bonds due 2032 (“Bonds”) having a face value of US$ 320 each, which after capitalising interest @ 2.75% per annum accrued on half yearly basis on the Bonds is aggregating to US$ 4,75,894, at a conversion price of Rs.2.61 (Rupees Two and Paise Sixty One Only) per equity share with a fixed rate of exchange on conversion of Rs.74.8464 to US$ 1.00 in terms of the Consent Solicitation and Information Memorandum dated 26[th] March 2020 as supplemented on 31[st] March 2020 and 2[nd] April 2020, pursuant to the conversion notice(s) received from Bondholder(s) forming part of US$ denominated Convertible Bonds due 2032.

Post aforesaid allotment, the paid-up capital of the Company is Rs.1771,58,15,350/- (Rupees One Thousand Seven Hundred Seventy One Crores Fifty Eight Lacs Fifteen Thousand Three Hundred Fifty Only) divided into 885,79,07,675 (Eight Hundred Eighty Five Crores Seventy Nine Lacs Seven Thousand Six Hundred Seventy Five) equity shares of Rs.2/- (Rupees Two Only) each.
