关于公司全球管理架构调整的公告

苏州上声电子股份有限公司（以下简称“公司”）于2021 年8 月26 日召开了第二届董事会第四次会议，审议通过了《关于公司全 球管理架构调整的议案》。为了进一步规范公司运行管理集团化、组 织管理扁平化、条线管理专业化的现代企业管理模式，优化公司现有 资源，充分发挥管理能力与效能的最大化优势，公司根据战略发展与 实际业务情况，结合未来长期发展规划，以更好地整合公司全球化布 局的资源、进一步明确职责与完善公司治理结构、提高研发和全球化 运营效率，拟对公司全球管理架构进行调整与优化。设立九大中心， 分别为：投管中心、人事中心、财务中心、信息中心、质量中心、营 销中心、制造中心、安管中心、先进技术研究院。

本次全球管理架构的调整是公司对内部全球化管理资源的整合 与机构的调整，不会对公司生产经营活动产生重大影响，调整后的公 司全球管理架构图详见附件。
