In continuation to our intimation dated December 26, 2024, we are submitting herewith the corrigendum to the notice of Extra Ordinary General Meeting (“EGM”) scheduled to be held on Friday, January 17, 2025 at 11:30 a.m. through Video Conferencing / Other Audio-Visual Means.

The Company had filed applications with BSE Limited (“BSE”) and National Stock Exchange of India Limited (“NSE”), for seeking in-principle approvals in relation to the proposed preferential issue of convertible warrants and equity shares for which the approval of the shareholders is being sought. Thereafter, the Company has received an observation letter from NSE dated January 2, 2025 and BSE dated January 8, 2025 and have directed the Company to provide additional details through corrigendum. This corrigendum is being issued to notify the amendments/ provide clarifications and additional details with respect to certain disclosures made under the explanatory statement to Item Nos. 1 & 2, which is annexed to the Notice of the EGM.

Copy of the said corrigendum to the EGM Notice is also being uploaded on the website of the Company at www.suyogtelematics.co.in.

CORRIGENDUM TO THE NOTICE OF THE EXTRAORDINARY GENERAL MEETING

Suyog Telematics Limited (“ Company ”) has issued a notice dated December 21, 2024 (“ EGM Notice ”) for convening the Extraordinary General Meeting of the members of the Company which is scheduled to be held on Friday, January 17, 2025 at 11.30 a.m. IST through Video Conferencing ( VC ) / Other Audio-Visual Means ( OAVM ).

The EGM Notice has been dispatched to the shareholders of the Company on December 26, 2024 in due compliance with the provisions of the Companies Act, 2013 read with the relevant rules made thereunder, read with circulars issued by Ministry of Corporate Affairs and Securities and Exchange Board of India and all other applicable provisions. Capitalized words and expressions used but not defined herein shall have the same meaning as assigned to them in the EGM Notice.

The Company had filed applications with BSE Limited (“ BSE ”) and National Stock Exchange of India Limited (“ NSE ”), for seeking in-principle approvals in relation to the proposed preferential issue of convertible warrants and equity shares for which the approval of the shareholders is being sought. Thereafter, the Company has received (i) observation letter from NSE through e-mail dated January 02, 2025; and (ii) observation from BSE through its portal dated January 08, 2025 and have directed the Company to rectify / provide additional details through corrigendum i.e. to provide details of UBO of the allottees for the serial number 6, 8, 25, 26, 75, 82, 91 and to update pre-preferential holding for serial number 14, 37, 59, 62, 64, 67, 89 of Annexure A of the EGM Notice. This corrigendum is being issued to notify the amendments/ provide clarifications and additional details with respect to certain disclosures made under the explanatory statement to Item Nos. 1 & 2, which is annexed to the EGM Notice (“ Explanatory Statement ”), as mentioned herein:

This Corrigendum to the Notice of the EGM shall form an integral part of the EGM Notice which has already been circulated to shareholders of Company and on and from the date hereof, the Notice of the EGM shall always be read in conjunction with this Corrigendum. This corrigendum is also being published in one English Newspaper and one in Marathi Newspaper and will also be made available on website of both the stock exchanges i.e. BSE and NSE and on the website of the Company www.suyogtelematics.co.in. All other contents of the EGM Notice, save and except as modified or supplemented by the Corrigendum, shall remain unchanged.
