Sub: To consider and approve Unaudited Financial Results, declaration of Interim Dividend and the proposal for issuance of Bonus Shares.

Pursuant to regulation 29 of the SEBI (Listing Obligations & Disclosure Requirements), Regulations 2015, it is hereby informed that a Board Meeting of the Company is scheduled to be held on Thursday, 14 th November, 2024, inter alia,

• to consider and approve the Unaudited Standalone and Consolidated Financial Results of the Company for the quarter and half year ended 30 th September, 2024.

• to consider declaration of interim dividend to the equity shareholders.

• To consider the proposal for issue of Bonus Shares to the equity shareholders of the company in the ratio, as it may deem fit by way of capitalization of reserves, subject to the Shareholders approval.

The interim dividend, if declared, shall be paid to the equity shareholders of the Company whose names appear on the Register of Members of the Company or in the records of the Depositories as beneficial owners of the shares as on Monday, 25 th November, 2024 which is the Record Date fixed for this purpose.

Further to our letter dated 23rd September, 2024 intimating the start of the window closure period for trading, it is hereby informed that the Trading Window for dealing in securities of Surya Roshni shall remain closed till 16 th November, 2024 as per the Insider Trading Code of the Company.
