The Board of Management of SURTECO AKTIENGESELLSCHAFT had resolved on 11
October 2006 to propose to the Ordinary Annual General Meeting on 31 August
2007 that the company convert to a European company (Societas Europaea, SE)
and draw up a conversion plan. An appropriate Ad-hoc Press Release was
published on 12 October 2006.

The Supervisory Board of our company concurred with this proposal at a
meeting on 24 April 2007.
