STOCK EXCHANGE ANNOUNCEMENT

PLACEMENT FOR WORKING CAPITAL PURPOSES

Genesis Biomedical advises that it is has resolved to complete a placement of $300,000 through the issue of 10,000,000 fully paid ordinary shares at an issue price of 3 cents per share.

The placement is to be managed by Montagu Stockbrokers who have agreed to, on a best endeavours basis, complete the placement to those clients who qualify as sophisticated investors under s 708 of the Corporations Act.

As announced to the market through the recently released Annual Financial Report, the Company has been reviewing a number of commercial opportunities and as such the Directors have resolved to maintain a minimum level of working capital moving forward, hence the requirement for the placement outlined above.

The Company will keep the market fully informed in relation to recent discussions pertaining to certain of these commercial opportunities as is appropriate.
