STOCK EXCHANGE ANNOUNCEMENT

DIRECTOR APPOINTMENTS AND RESIGNATION

Genesis Biomedical is pleased to announce the appointment of two Non Executive Directors to the Board of the Company being Mr Adrian Knight and Mr Roger Smith.

Mr Knight's career to date has been focused primarily in the Financial Services, Information Technology and Sales and Marketing industries and he has held senior positions within these industries throughout the UK, Europe, South Africa, Japan, USA and Australia.

Mr Knight's background includes senior management positions within IBM, American International Group (AIG) and Huon Corporation. Mr Knight is currently Managing Director of a privately owned company involved in the provision of branded TV concept and productions and is the Non Executive Chairman of a "not for profit" organization known as the Bluearth Institute.

Mr Smith has many years experience in retail trade and financial planning. He has held a number of proprietary company directorships and has been successful in the operation of a number of wholesale/retail businesses in Australia. Mr Smith is also a Non Executive Director of ASX listed Sun Capital Group Limited.

Genesis also advises that Mr Adam Davey has resigned from his position as a Non Executive Director of the Company effective 24^th February 2005. Genesis would like to thank Mr Davey for his contribution to the Company's activities and wish him the best in his future endeavors

In conjunction with these appointments the Board will shortly be providing the market with an update as to the Company's activities.
