With reference to the captioned subject and in terms of the Regulation 30 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 and on receipt of the In-principle approval from National Stock Exchange and BSE Ltd, we would like to inform you that Board of Directors at its Meeting held on July 03, 2025 , inter-alia , has considered and approved the following:

Allotment of 98,34,368 Equity Shares of face value of Rs. 10/- each at a price of Rs. 86.94/per equity share including premium of Rs. 76.94/- per equity share, on preferential basis to Promoters persons / entities for cash. The details of allotment as enclosed as Annexure- A .
Allotment of 2,96,29,521 Equity Shares of face value of Rs. 10/- each at a price of Rs. 86.94/- per equity share including premium of Rs. 76.94/- per equity share, on preferential basis to certain identified non-promoter persons / entities for cash. The details of allotment as enclosed as Annexure- B .
Allotment of 1,26,52,404 convertible warrants at a price of Rs. 86.94/- per convertible warrant convertible into 1,26,52,404 Equity Shares on preferential basis to Promoters and certain identified promoter persons / entities. The details of allotment as enclosed as Annexure- C .
Allotment of 94,60,549 convertible warrants at a price of Rs. 86.94/- per convertible warrant convertible into 94,60,549 Equity Shares on preferential basis to certain identified non-promoter persons / entities. The details of allotment as enclosed as Annexure- D .
Allotment of 2,70,30,136 Equity Shares of face value of Rs. 10/- each at a price of Rs. 86.94/- per equity share including premium of Rs. 76.94/- per equity share, on preferential basis to promoters by conversion of unsecured loans. The details of allotment as enclosed as Annexure- E.
Allotment of 45,43,363 Equity Shares of face value of Rs. 10/- each at a price of Rs. 86.94/per equity share including premium of Rs. 76.94/- per equity share, on preferential basis to identified lender banks by conversion of secured loans. The details of allotment as enclosed as Annexure- F.

The Information required to be submitted pursuant to SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 09, 2015 is annexed herewith as Annexure – A.

Further the promoters of the Company have infused monies for monetization of the non core assets of the Company separately over and above the equity infusion mentioned above for the resolution of debt with the lenders of the Company.
