Notice given under section 708A(5)(e) of the Corporations Act and ASIC Class Order CO 09/425

Notice is given by Superior Resources Limited ACN 112 844 407 (Company) under ASIC class order 09/425 (CO 09/425) and section 708A(5)(e) of the Corporations Act 2001 (Cth) (Act) that:

• 1. The Company will make offers to issue fully paid ordinary shares in the Company under a share purchase plan without disclosure to investors under Part 6D.2 of the Act;
• 1. This notice is being given in accordance with paragraph 7(f) of CO 09/425;
• 1. As at the date of this notice, the Company has complied with:

the provisions of Chapter 2M of the Act as they apply to the Company; and

section 674 of the Act; and

1. As at the date of this notice, there is no information which is required to be disclosed by the Company that is excluded information, as defined in sections 708A(7) and (8) of the Act.

This notice is dated 16 July 2012 and is given in the 24 hour period before the offer under the SPP is made by the Company.
