(the “Registrant”) hereby incorporates by reference the description of its common stock, par value $0.001 per share (the “Common Stock”), contained under the heading “Description of Capital Stock” in the Registrant’s Registration Statement on Form S-1 (File No. 333-138370) (the “Registration Statement”), as originally filed with the Securities and Exchange Commission (the “Commission”) on November 2, 2006, including any prospectus relating thereto filed subsequently pursuant to Rule 424(b) of the Securities Act of 1933, as amended, which is hereby incorporated by reference.

The Registrant has applied to list the Common Stock on The Nasdaq Global Select Market of The Nasdaq Stock Market LLC under the trading symbol “SMCI.”
