Sub: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 - Further update on the Scheme of Amalgamation (‘Scheme’) of Starlight Systems Private Limited (‘Starlight’) and Satguru Infocorp Services Private Limited (‘Satguru’) (Wholly Owned Subsidiaries) with Sunteck Realty Limited (‘the Company’) and their respective shareholders

This is in furtherance to the disclosure dated 30[th] May, 2024 made by the Company on the captioned subject. We write to inform you that the Hon’ble National Company Law Tribunal, Mumbai Bench (‘NCLT’) has vide an Order dated 27[th] February, 2025 (‘Order’) approved the Scheme. The final Order was uploaded on the NCLT website on 27[th] February, 2025.

The Appointed Date for the Scheme is 14[th] December 2023. The Scheme will come into effect upon filing of the certified copy of the NCLT Order with the Registrar of Companies, Mumbai, Maharashtra.
