Issue of ordinary shares

Notice given under Section 708A(5) of the Corporations Act

Further to the announcement on 28 July 2014, Avalon Minerals Limited (‘ Avalon’ ) has on 5 August 2014 issued 233,750,000 fully paid ordinary shares at an issue price of $0.008 per share to sophisticated and professional investors as part of a share placement.

The Company gives notice that:

• (a) The shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• (b) This notice is given under section 708A(5)(e) of the Corporations Act;

• (c) As at the date of this notice, Avalon has complied with:

  • i) the provisions of Chapter 2M of the Corporations Act as they apply to Avalon; and

  • ii) section 674 of the Corporations Act as it applies to the Company; and

• (d) As at the date of this notice, there is no information that is “excluded information” of the type referred to in section 708A(7) and 708A(8) of the Corporations Act.
