SECTION 708A NOTICE – ISSUE OF SHARES

Sunshine Metals Limited (ASX:SHN, “Sunshine Metals”, “the Company”) provides this no�ce to ASX under sec�on 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corpora�ons Act ) in rela�on to the issue of 1,000,000 fully paid ordinary shares at $0.015 per share ( Shares ) in the capital of the Company. The issue of the Shares to a sophis�cated investor was approved at the Company’s general mee�ng held 23 June 2023 and without disclosure under Part 6D.2 of the Corpora�ons Act.

An Appendix 2A has been lodged today with respect to the Shares issued and the Company hereby no�fies ASX under s708A(5)(e) of the Corpora�ons Act that:

• (a) the Company issued the Shares without disclosure to investors under Part 6D.2 of the Corpora�ons Act;

• (b) at as the date of this no�ce the Company has complied with:

  • (i) the provisions of Chapter 2M of the Act, as they apply to the Company; and

  • (ii) sec�on 674 of the Corpora�ons Act, as it applies to the Company,

• (c) as at the date of this no�ce, there is no informa�on that is no “excluded informa�on” as defined in of sec�ons 708A(7) and 708A(8) of the Corpora�ons Act which is required to be disclosed by the Company.
