ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On February 6, 2014, SunOpta Inc. (the “Company”) issued a press release announcing preliminary revenue and earnings results for the fourth quarter of 2013. The release also discussed certain costs incurred during the fourth quarter of 2013 that are expected to negatively affect the Company’s earnings for the quarter. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
