Subject to any terms, conditions, and restrictions set forth in an applicable partnership agreement, Section 17-108 of the Delaware Revised Uniform Limited Partnership Act empowers a Delaware limited partnership such as the Registrant to indemnify and hold harmless any partner or other person from and against all claims and demands whatsoever.
Under the Registrants partnership agreement, in most circumstances, it will indemnify the following persons, to the fullest extent permitted by law, from and against all losses, claims, damages or similar liabilities:
· The Registrants general partner;
· any departing general partner;
· any person who is or was an affiliate of the Registrants general partner or any departing general partner;
· any person who is or was a manager, managing member, general partner, director, officer, employee, agent, fiduciary or trustee of our partnership, our subsidiaries, our general partner, any departing general partner or any of their affiliates;
· any person who is or was serving at the request of our general partner, any departing general partner, or any of their affiliates as a manager, managing member, general partner, director, officer, employee, agent, fiduciary or trustee of another person owing a fiduciary duty to us or our subsidiaries;
· any person who controls our general partner or any departing general partner; and
· any person designated by our general partner.
Any indemnification under these provisions will only be out of the assets of the Registrant. Unless the Registrants general partner otherwise agrees, it will not be personally liable for, or have any obligation to contribute or lend funds or assets to us to enable us to effectuate, indemnification. The Registrant may purchase insurance against liabilities asserted against and expenses incurred by persons for our activities, regardless of whether the Registrant would have the power to indemnify the person against such liabilities under its partnership agreement.
The Amended and Restated LLC Agreement of the Registrants general partner, Susser Petroleum Partners GP LLC, also provides for indemnification of directors and officers of the general partner.
In connection with the Registrants initial public offering, the Registrant plans to enter into indemnification agreements with each of the Registrants directors. These agreements generally provide that the Registrant will indemnify each of its directors to the fullest extent permitted by law so long as the director has not engaged in any act or omission resulting from fraud, gross negligence, willful breach of any of the organizational documents of the Registrant or the Registrants general partner or a willful illegal act (other than an act or omission treated as a criminal violation in a foreign country that is not a criminal violation in the United States).
In connection with the Registrants initial public offering the Registrant entered into an agreement with its underwriters which contains indemnification and contribution provisions.
The Plan provides that the committee that administers the Plan (the Committee) and all members thereof are entitled to, in good faith, rely or act upon any report or other information furnished to them by any officer or employee of the Registrant, the Registrants general partner, any of the Registrants subsidiaries, the Registrants or its general partners legal counsel, independent auditors, consultants or any other agents assisting in the administration of this Plan. Members of the Committee and any officer or employee of the Registrants general partner, the Registrant, or any of their subsidiaries acting at the direction or on behalf of the Committee shall not be personally liable for any action or determination taken or made in good faith with respect to the Plan, and shall, to the fullest extent permitted by law, be indemnified and held harmless by the Registrants general partner with respect to any such action or determination.
