Notice is hereby given that the Extra-ordinary General Meeting (“EGM”) of the members of Agro Tech Foods Limited will be held on Wednesday, 11th December, 2024 at 11:00 A.M. IST through Video Conference (VC)/Other Audio-Visual Means (OAVM) for the purpose of transacting the business mentioned in the Notice dated 19th November, 2024.

The Ministry of Corporate Affairs (MCA) has vide its Circular No. 20/2020 dated May 5, 2020, Circular No. 14/2020 dated April 8, 2020, Circular No. 17/2020 dated April 13, 2020, Circular No.02/2021 dated January 13, 2021, Circular No. 21/2021 dated December 14, 2021, Circular No. 2/ 2022 dated May 5, 2022, General Circular No. 10/2022 dated December 28, 2022, General Circular No. 09/2023 dated September 25, 2023 and General Circular No. 09/2024 dated September 19, 2024 (collectively referred to as ‘MCA circulars’) permitted the holding of EGM through VC or OAVM, without the physical presence of the Members at the venue. In compliance with these MCAcirculars and the relevant provisions of the Companies Act, 2013 and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the EGM of the Members of the Company will be held through VC/OAVM.

SEBI/HO/CFD/CMD2/CIR/P/2022/62 dated May 13, 2022, Circular No. SEBI/HO/CFD/CFD-PoD2/P/CIR/2023/167 dated October 7, 2023 and Circular No. SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 3, 2024. Notice of the EGM along with Explanatory Statement will also be available on the website of the Company i.e. www.atfoods.com, and also hosted on the stock exchanges viz. www.bseindia.com and www.nseindia.com and on the website of Company’s Registrar & Share Transfer Agent i.e. KFin Technologies Limited (KFintech/RTA) i.e. https://evoting.kintech.com. Members can attend and participate in the EGM through VC/OAVM facility only. The instructions for joining the EGM are provided in the Notice of the EGM. Members attending the Meeting through VC/OAVM shall be counted for the purpose of reckoning the quorum under Section 103 of the Companies Act, 2013. Manner of registering/updating email addresses:

(a) Members holding shares in physical form who have not registered/ updated their e-mail addresses with the Company/KFintech can register/ update the same and can obtain Notice of the EGM along with Explanatory Statement and/or login details for joining the EGM through VC/OAVM facility including e-voting, by writing to the Company at [email protected] or by writing to KFintech at [email protected] with details of folio number and attaching a self-attested copy of PAN card.

(b) Members holding shares in dematerialised mode who have not registered their e-mail addresses with their Depository Participant(s) are requested to register / update their email addresses with the Depository Participant(s) with whom they maintain their demat accounts. 4. Manner of casting vote(s) through e-voting:

Voting through electronic means would commence on Saturday, December 7, 2024 at 9.00 a.m. and would end on Tuesday, December 10, 2024 at 5.00 p.m. Please note that the voting shall not be allowed beyond 5.00 p.m. on December 10, 2024. Members who have acquired shares after the dispatch of the EGM Notice and before the cut-off date may obtain the user ID and Password by sending a request at [email protected].

(b) Members attending the EGM who have not cast their vote by remote e-voting shall be eligible to vote during the EGM through e-voting facility. Members who have cast their vote through remote e-voting prior to the Meeting, may participate in the EGM but shall not be entitled to cast their vote again in the Meeting.

(c) The login credentials for casting votes through e-voting shall be made available to the members through e-mail. Members who do not receive e- mail or whose e-mail addresses are not registered with the Company/ KFintech/Depository Participant(s), may generate login credentials by following instructions given in the Notes to Notice of EGM.

(d) The same login credentials may also be used for attending the EGM through VC/OAVM.

Manner of registering mandate for updating PAN, KYC details and Nomination:

(i) Members are requested to register/ update their complete bank details and KYC: (a) with their Depository Participant(s) with whom they maintain their demat accounts, if shares are held in dematerialized mode by submitting the requisite documents.
(b) with the Company/ KFintech by sending an e-mail at [email protected] or [email protected], if the shares are held in physical mode, by submitting (i) scanned copy of the signed request letter which shall contain member’s name, folio number, e-mail id, Mobile No., Signature specimen, Bank Details (Bank Account number, Bank and Branch Name and address, IFSC, MICR details) (ii) self-attested copy of the PAN card (iii) cancelled cheque leaf and (iv) signed Nomination Forms.

(ii) Shareholders are requested to note that pursuant to SEBI circular dated November 03, 2021 (subsequently amended by circulars dated December 14, 2021, March 16, 2023 and November 17, 2023) mandated that the security holders (holding securities in physical form), whose folio(s) were not updated with the KYC details (any of the details viz., PAN; Choice of Nomination; Contact Details; e-mail, Mobile Number and Bank Account Details and signature, if any) shall be eligible for any payment including dividend, interest or redemption in respect of such folios, only through electronic mode with effect from April 01, 2024 and only after furnishing the complete KYC documents / details. 1. Manner of casting vote(s) through e-voting:

(a) The Resolutions covered in the EGM Notice will be transacted through remote e-voting (facility to cast vote from a place other than the venue of EGM). KFintech has been engaged by the Company for providing e-voting platform. Members of the Company holding shares either in physical form or in dematerialized form, as on the close of business hours of December 3, 2024, the cut-off date, may cast their vote electronically. Voting through electronic means would commence on Saturday, December 7, 2024 at 9.00 a.m. and would end on Tuesday, December 10, 2024 at 5.00 p.m. Please note that the voting shall not be allowed beyond 5.00 p.m. on December 10, 2024. (c) The login credentials for casting votes through e-voting shall be made available to the members through e-mail.
