Re-appointment of Sri Suresh Krishna as Chairman and Non-Executive Director and Ms Arathi Krishna as Managing Director

With reference to the above mentioned subject, we wish to inform you that the Board of Directors at their meeting held today (Thursday, February 4, 2021) have approved the following:-

• a. Re-appointment of Sri Suresh Krishna, Chairman and Non-Executive Director (DIN 00046919) of the Company for a period of five years, effective July 1, 2021.
• b. Re-appointment of Ms Arathi Krishna, Managing Director (DIN 0051746) of the Company for a period of five years, effective May 3, 2021.

Brief Profile of Directors:

a. Sri Suresh Krishna, Chairman and Non-Executive Director

Sri Suresh Krishna, aged 84 years, holds a Bachelor of Science degree from Madras Christian College, Master of Arts in Literature from the University of Wisconsin and a Post-graduate work in Literature from the University of Munich, Germany. He is associated with the Company since inception and was appointed as Chairman of the Board of Directors on June 15, 1979. He has expertise in General Management, Marketing, Sales, Project Management, Risk Management and Human Resources.

Sri Suresh Krishna is related to Ms Arathi Krishna, Managing Director (Daughter), Ms Arundathi Krishna, Joint Managing Director (Daughter) and Ms Preethi Krishna, Non-Executive Director (Daughter) of the Company. He is not debarred from holding the office of Director by virtue of any SEBI order or any other such authority.

b. Ms Arathi Krishna, Managing Director

Ms Arathi Krishna, aged 52 years, is a Master of Arts (MA) in Economics from the Stella Maris College, Chennai and a Master of Business Administration (MBA) from the University of Michigan Business School, USA. Through her work experience in India and abroad, she has acquired wide managerial and business administration skills. She was appointed as Managing Director (designated as Executive Director) effective May 3, 2006. She was re-appointed as Managing Director (designated as Joint Managing Director) effective May 3, 2011 and subsequently re-appointed for a period of five years with effect from May 3, 2016. She was re-designated as the Managing Director of the Company effective, April 20, 2018. She has expertise in General Management, Marketing, Sales, Project Management, Risk Management and Human Resources.

Ms Arathi Krishna is related to Sri Suresh Krishna, Chairman and Non-Executive Director (Father), Ms Arundathi Krishna, Joint Managing Director (Sister) and Ms Preethi Krishna, Non-Executive Director (Sister) of the Company. She is not debarred from holding the office of Director by virtue of any SEBI order or any other such authority.

The Company will obtain the approval of the shareholders through postal ballot with respect to the abovementioned re-appointment of Directors in due course.
