Suncorp change of Trustees Capital Notes and Capital Notes 2

Suncorp (ASX: SUN | ADR: SNMCY) today advised that it has consented to a change in the Trustees of its Capital Notes and Capital Notes 2 programs, from Australian Executor Trustees Limited to Certane CT Pty Ltd, with effect from 15 October 2021. The change has arisen following the finalisation of changes in the ownership structure of the Trustee.

Suncorp advises that the legal rights of Holders in Capital Notes and Capital Notes 2 will not otherwise be affected by the change in Trustee.

This announcement, including the attached “Notice to Holders” for both Capital Notes and Capital Notes 2 constitutes notice of the change of Trustees to all Noteholders.

Suncorp Group Limited Capital Notes (SUNPF) issued under the Suncorp Capital Notes Trust – change of trustee

In accordance with the notice provisions under clause 19 of the terms and conditions of the Suncorp Capital Notes ( Terms ), as contained in Schedule 1 to the Suncorp Capital Notes Trust Deed dated 27 March 2017 ( Trust Deed ), notice is hereby given to the holders of Suncorp Group Limited Capital Notes ( Holders ) of the following:

1. On 1 November 2018, Australian Executor Trustees Limited (ACN 007 869 794) ( AET Limited ) sold its 'AET Corporate Trust' business to Sargon CT Holdings Pty Ltd (ACN 628 621 321) ( Sargon CT Holdings ).

2. On 5 May 2020, Pacific Infrastructure Partners purchased Sargon CT Pty Ltd (ACN 106 424 088) from Sargon CT Holdings. Sargon CT Pty Ltd changed its name to Certes CT Pty Ltd on 7 July 2020, and to Certane CT Pty Ltd on 1 December 2020 ( Certane ).

3. In connection with the foregoing, AET Limited has notified the Issuer that it wishes to be replaced by Certane (a subsidiary of Pacific Infrastructure Partners) as the trustee of the Suncorp Capital Notes Trust ( Trust ) established under the Trust Deed.

4. Pursuant to a Deed of Retirement and Appointment of Trustee between the Issuer, AET Limited and Certane dated 15 October 2021, with effect on and from that date, Certane replaced AET Limited as the trustee of the Trust.

5. The notice details of Certane are as follows:

Suncorp Group Limited Capital Notes 2 (SUNPG) issued under the Suncorp Capital Notes 2 Trust – change of trustee
