NOTICE OF ANNUAL GENERAL MEETING, E-VOTING AND BOOK CLOSURE
NOTICE is hereby given that the Twenty-Ninth Annual General Meeting of the Members of the Company will be held on Tuesday, August 31, 2021 at 03:00 p.m. IST ("AGM") through Video Conferencing ("VC")/ Other Audio-Visual Means ("OAVM") without the physical presence of the members at a common venue, in compliance with all the applicable provisions of the Companies Act, 2013 and the Rules made thereunder and the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), read withGeneral Circular No. 14/2020 dated April 08, 2020, General Circular No. 17/2020 2020, and General Circular No. 02/2021 dated January 13, 2021 and other applicable circulars issued by the Ministry of Corporate Affairs ("MCA") and Securities and Exchange Board of India ("SEBI") (collectively referred to as "relevant circulars"), to transact the business set out in the Notice convening the AGM. Members will be able to attend the AGM through VC/OAVM or view the live webcast of the AGM as detailed in the Notice of the AGM. Members participating through the VC/OAVM facility shall be reckoned for the purpose of quorum under Section 103 of the Companies Act.
The electronic copy of the Annual Report for the financial year 2020-21 which inter-alia includes the Notice of the AGM, is being emailed to all the members whose email addresses are registered with the Company's Registrar and Share Transfer Agent, Link Intime India Private Limited ("RTA") Depositories, in accordance with the relevant circulars. The said Annual Report (including Notice of the AGM) shall also available on the website of the Company at www.sunpharma.com and on the websites of the Stock Exchanges i.e. BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and www.nseindia.com respectively and on the website of the Central Depository Services (India) Limited (CDSL) at www.evotingindia.com, being the agency appointed by the Company for providing e-voting and VC/OAVM facility for the AGM. Members can attend and participate in AGM through the VC/OAVM facility only. The instructions for joining the AGM are provided in Notice of the AGM. Members are requested to carefully read all the instructions detailed in the Notice of the AGM and in particular, instructions for joining the AGM, manner of casting vote through remote e-voting and e-voting during the AGM.
The Company is pleased to provide facility to its members, to cast their vote electronically ("remote e-voting") on the businesses as set forth in the Notice of the AGM. The remote e-voting period shall commence on Saturday, August 28, 2021 at 09:00 a.m. and ends on Monday, August 30, 2021 at 05:00 p.m. During this period, the shareholders may cast their e-vote remotely by logging in as per login method provided below. The remote e-voting module shall be disabled by CDSL for voting thereafter. Pursuant to requirement of SEBI the e-voting is enabled for the demat. account holders, by way of a single login credential, through their demat accounts/ websites of Depositories/ Depository Participants. The Members who have cast their vote by remote e-voting prior to the meeting will be able to join the meeting but shall not be entitled to cast
