On 27 September 2011, an indirectly wholly-owned subsidiary of the Company and an independent third party entered into a sale and purchase agreement, pursuant to which the consideration shall be satisfied by the issue and allotment of the 177,272,727 consideration shares at the issue price of HK$2.20 per consideration share within 10 business days after the completion of the aforesaid agreement.
