Subsea 7 S.A. Repurchase of Convertible Bonds

Luxembourg - 26 September 2014 - Subsea 7 S.A. (the

Company) announces that, through market purchases, it

has on 25 September 2014, bought USD 79,100,000

nominal value of the 3.50% Subsea 7 S.A. Convertible

Bond Issue 2009/2014 (ISIN NO 0010542327) at a

purchase price of 100% of nominal value.

Following the purchase, the Company holds USD

79,100,000 bonds at nominal value representing 28.8%

of the 3.50% Subsea 7 S.A. Convertible Bond Issue

2009/2014 (ISIN NO 0010542327).
