Pursuant to the Regulation 30 and o ther applicable regulations of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, kindly note the follo w ing:

• a) Change in Nominee Director: Resignation of Mr. Yasuhiro Iida as Nominee Director of D E NSO Corporation, Japan due to change in nomination and the appointment of Mr. Hidemasa Takahashi as Nominee D irector of DENSO Corporation, Japan.

Mr. Fumitaka Taki. Alternate Director to Mr. Y. Iida automatically vacated his office in accordance with provisions of Section 161 of the Companies Act, 2013 due to change in nomination. Mr. Hidemasa T a kahashi, Nominee Director has nominated the appointment o f Mr. Fumitaka Taki as his Alternate Director.

• b) Resignation of Chief Financi a l Officer (KMP): In order to focus on development and strengthening of organizational capabilities across all dom a ins, Mr. Manoj K. Sethi, Chief Financial Officer (KMP) & Executive Vice President (Organizational Capability) h a s tendered a notice of resignation from the position of Chief Financial Officer (KMP). Further, Mr. Sethi will contin u e to provide his services to the Company in the positi o n of Executive Vice President (Organizational Capability).

• c) Appointment of Chief Financ i al Officer & KMP: Mr. Hemant K. Agarwal, Assistant Vic e President (Finance) has been appointed as the Chief Finan c ial Officer (KMP).

• d) Induction of CEO as KMP: Mr. Pramod K. Duggal, CEO has been inducted as the key m a nagerial personnel and will now be the Chief Executive Office r (KMP).

The above have been approved by the Board of Directors in their meeting held on 30[th] March, 2 0 21. Also the details required in terms of SEBI circular dated 9[th ] September, 2015 are placed at Annexure.
