NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

This notification is to make an RIS notification required by DR 3.1.4R(1).

STV Group plc (the "Company") confirms that following the maturity of the STV Sharesave Scheme 2011 on 1 September 2014, the undernoted Executive Directors have exercised their options awarded under this scheme as follows. The scheme commenced on 1 September 2011 for a three-year term with an option price of 123 pence per share:

Rob Woodward: 7,337 options granted.

George Watt: 7,337 options granted and 4,535 shares sold to fund tax and NIC arising from a previous share award.

Finally, following the Company's announcement of an interim dividend payment of 2.0 pence per share, it is confirmed that the ex-dividend date is 10 September 2014; the record date is 12 September 2014 and payment date is 14 October 2014.
