Report 14/2023 Conditional registration of shares in the NationalSecurities Depository

The Management Board of STS Holding S.A. (the "Issuer") hereby reportsthat it received statement No. 487/2023 of the National SecuritiesDepository (Krajowy Depozyt Papierów Wartościowych w Warszawie S.A.; the"KDPW") dated June 6, 2023, under which the KDPW resolved to register inthe securities depository 191,000 (one hundred ninety one thousand)bearer series D shares in the Issuer, with a par value of PLN 1.00 each,and mark them with the code "PLSTSHL00012" (the "Shares"), under thecondition that the Shares are introduced to trading on the regulatedmarket.

Registration of the Shares in the securities depository will take placewithin three days of the date when the KDPW receives documentsconfirming the Shares' admission to trading on the regulated market.

The Issuer indicates that the Shares constitute approximately 0.12% ofthe Company's share capital and were issued on the basis of ResolutionNo. 3 of the Management Board of the Issuer dated March 30, 2023 on theissue of series D shares. The Shares were acquired by the Issuer's keymanagers under the Issuer's incentive plan.
