Recommendationof the Management Board of STS Holding S.A. regarding the level ofdividend payment for 2022

TheManagement Board of STS Holding S.A. with its registered office inKatowice ("Company")- having regard to the interests of the Company's shareholders - on 24May 2023 adopted a resolution concerning recommendation to the AnnualGeneral Meeting of the distribution of net profit achieved by theCompany for the financial year 2022 in the amount ofPLN128,609,243.89, less the advance on dividend in the amount of PLN42,264,438.66 paid to the Shareholders on 31 October 2022 (currentreport 20/2022), i.e. the amount of PLN 86,344,805.23, in the followingmanner:

1)PLN 86,199,276.90 will be allocated to the payment of dividends for theCompany's shareholders, which means that the amount of the dividend pershare is PLN 0.55;

2)PLN 145,528.33 to be allocated to the Company's supplementary capital inaccordance with the mandatory provisions of law.

Therecommendation was approved by the Supervisory Board of the Issuer on 25May 2023._#160;

Thefinal decision on the distribution of profit for the year ended 31December 2022 will be taken by the Annual General Meeting of the Company.

Inaddition, the Management Board of the company will decide to pay to theshareholders of STS Holding S.A. an advance on dividends for 2023 uponpublication and approval of the consolidated summary financialstatements as on 30 June 2023.
