Działając w imieniu Entain PLC z siedzibą w Douglas, Wyspa Man ("Entain"), na podstawie art. 69a ust. 1 pkt 3 w zw. z art. 69 ust. 1 pkt 1 w zw. z art. 77h ust. 3 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (t.j. Dz. U. z 2022 r. poz. 2554, "Ustawa") niniejszym zawiadamiam, że w wyniku rozliczenia transakcji nabycia akcji STS Holding S.A. z siedzibą w Katowicach ("Spółka" albo STS) objętych zapisami na sprzedaż akcji złożonymi w ramach wezwania do zapisywania się na sprzedaż akcji Spółki ogłoszonego przez Entain Holdings (CEE) Limited z siedzibą w Gżirze, Malta ("Entain CEE") dnia 7 lipca 2023 r. Notification of a change to the shareholding

Acting on behalf of Entain PLC with its registered office in Douglas, Isle of Man ("Entain"), based on Article 69a(1)(3) in conjunction with Article 69(1)(1) in conjunction with Article 77h(3) of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies dated 29 July 2005 (consolidated text: Journal of Laws of 2022, item 2554, the "Act") I hereby notify you that as a result of the settlement of transactions of the acquisition of shares in STS Holding S.A. with its registered office in Katowice (the "Company" or "STS") covered by subscriptions for the sale of shares under the tender offer to acquire the Company's shares announced by Entain Holdings (CEE) Limited with its registered office in Gzira, Malta ("Entain CEE") on 7 July 2023 (the "Tender Offer") Entain indirectly acquired 155,591,656 (one hundred fifty-five million five hundred ninety-one thousand six hundred fifty-six) shares in STS corresponding to 99.28% of the share capital of the Company, in total conferring the right to exercise 155,591,656 (one hundred fifty-five million five hundred ninety-one thousand six

Entain jest podmiotem bezpośrednio dominującym wobec Bwin, posiadając 100% udziałów w kapitale zakładowym (reprezentujące 100% głosów) Bwin.

Entain nie posiada podmiotu dominującego w rozumieniu Ustawy.

Nabycie wskazanych powyżej akcji STS nastąpiło dnia 24 sierpnia 2023 r. w wyniku rozliczenia zawartych w dniu 21 sierpnia 2023 r. transakcji nabycia akcji Spółki objętych zapisami na sprzedaż akcji złożonymi w ramach Wezwania.

The acquisition of the above-mentioned shares in STS took place on 24 August 2023 as a result of the settlement of transactions of the acquisition of the Company's shares covered by subscriptions for the sale of shares under the Tender Offer concluded on 21 August 2023.

Prior to 24 August 2023, i.e. the settlement of the Tender Offer, Entain did not hold directly or indirectly any shares in the Company.
