Report 25/2023Statement of the Management Board regarding the public Tender Offer

Management Boardof STS Holding S.A. with its registered office in Katowice (the _quot;Company_quot;),acting pursuant to article 80 of the Act of July 29, 2005 on PublicOffering and Conditions Governing the Introduction of FinancialInstruments to Organized Trading and on Public Companies, herebypublishes the position of the Company's Management Board regarding atender offer for ordinary bearer shares of the Company (the _quot;TenderOffer_quot;), announced by Entain Holdings (CEE) Ltd. on July 7, 2023,along with the opinion prepared by mInvestment Banking S.A. with itsregistered office in Warsaw (the _quot;Advisor_quot;) regarding thefair value of the price for the Company's shares proposed in the TenderOffer.

The position ofthe Management Board along with the opinion of the Advisor constituteappendices to this report, with the reservation that the opinion of theAdvisor has been prepared in Polish and this language version of theopinion is binding, and the English version has been prepared forinformational purposes only.
