The ManagementBoard of STS Holding S.A. (the "Company") informs that on 31 May 2023 ithas received a notification dated 31 May 2023 on the change of share inthe total number of votes in the Company, issued pursuant to Article 69Section 1 of the act of 29 July 2005 on public offering, the conditionsgoverning the introduction of financial instruments to organisedtrading, and on public companies by Betplay Capital sp. z o.o., JuroszekHolding sp. z o.o., MJ Investments sp. z o.o., MJ Foundation FundacjaRodzinna w organizacji,FundacjaZbigniewa Juroszka Fundacja Rodzinna w organizacji, Mr. Mateusz Juroszekand Mr. Zbigniew Juroszek.

Attached, theCompany's Management Board provides the full text of the notice received.

Transactionsdescribed in the notice are related with the contribution of shares heldin the Company to family foundations established by Mr. Mateusz Juroszekand Mr. Zbigniew Juroszek in connection with the entry into force of theAct on Family Foundations on May 22, 2023. The beneficial owners and thenumber of shares held indirectly by both Mr. Mateusz Juroszek and Mr.Zbigniew Juroszek as parties acting in concert in accordance withArticle 87(1)(5) of the Public Offering Act did not change as a resultof the transaction.
