EXPLANATORY NOTE

This Registration Statement on Form S-8 (this “Registration Statement”) is being filed by Strive, Inc., a Nevada corporation (f/k/a Asset Entities Inc.) (the “Registrant”) in connection with the closing of the transactions contemplated by that certain Agreement and Plan of Merger, dated as of September 22, 2025 (as amended by that certain letter agreement, dated as of December 3, 2025, the “Merger Agreement”), by and among the Registrant, Strive Merger Sub, Inc., a Delaware corporation (“Merger Sub”), and Semler Scientific, Inc., a Delaware corporation (“Semler”). Pursuant to the Merger Agreement, on January 16, 2026, Merger Sub merged with and into Semler, with Semler becoming a wholly owned subsidiary of the Registrant.

Under the Merger Agreement, upon the consummation of the transactions contemplated therein, each outstanding stock option under any of the Semler Plans (as defined below) to purchase shares of the common stock, par value $0.001 per share, of Semler (the “Semler Common Stock”) (whether vested or unvested) held by any individual (each, a “Semler Option”) was converted into a right to purchase shares of Class A common stock, par value $0.001 per share, of the Registrant (the “Class A Common Stock,” and such converted stock options, the “Converted Options”) on substantially the same terms and conditions (including with respect to vesting and exercisability) as the Semler Option, except that (i) if the holder is a non-employee director whose service to Semler continued through the Closing Date (as defined in the Merger Agreement), or (ii) if the holder’s employment or service to Semler is terminated by Semler without Cause (as defined in the Merger Agreement) at or during the six months immediately following the Effective Time (as defined in the Merger Agreement), the vesting of the unvested portion of the Converted Option will immediately accelerate as of the Effective Time (in the case of clause (i)) or the date of such termination of employment (in the case of clause (ii)) as were applicable to such Semler Option immediately prior to the Effective Time, with the number of shares of Class A Common Stock, rounded down to the nearest whole share, to be determined by multiplying the number of shares of Semler Common Stock subject to each such Semler Option immediately prior to the Effective Time by 21.05 (the “Exchange Ratio”), at an exercise price per share of Class A Common Stock, rounded up to the nearest whole cent, equal to the per share exercise price for the shares of Semler Common Stock otherwise purchasable pursuant to each such Semler Option immediately prior to the Effective Time divided by the Exchange Ratio.

This Registration Statement is filed for the purpose of registering shares of Class A Common Stock issuable pursuant to (i) 12,737,703 Converted Options initially granted under the Semler Scientific, Inc. 2024 Stock Option and Incentive Plan and (ii) 8,377,298 Converted Options initially granted under the Semler Scientific, Inc. 2014 Stock Incentive Plan (together, such plans, the “Semler Plans”).

Pursuant to an exception under Rule 5635(c) of the NASDAQ Market Rules and Regulations, awards that are granted under a pre-existing shareholder approved plan of an issuer that is acquired in an acquisition or merger may be converted, replaced, assumed or adjusted in connection with such transaction without approval of shareholders of the listed acquiring company.

Nevada Revised Statutes (“NRS”) 78.7502(1) provides that a corporation may indemnify, pursuant to that statutory provision, any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative (other than an action by or in the right of the corporation) by reason of the fact that such person is or was a director, officer, employee or agent of the corporation, or is or was serving at the request of the corporation as a director, officer, employee or agent of another corporation or other enterprise or as a manager of a limited liability company, against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with such action, suit or proceeding if such person is not liable pursuant to NRS 78.138 or if such person

acted in good faith and in a manner he or she reasonably believed to be in or not opposed to the best interests of the corporation, and, with respect to any criminal action or proceeding, had no reasonable cause to believe his or her conduct was unlawful. NRS 78.7502(2) permits a corporation to indemnify, pursuant to that statutory provision, any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action or suit by or in the right of the corporation to procure a judgment in its favor, by reason of the fact that such person acted in any of the capacities set forth above, against expenses, including amounts paid in settlement and attorneys’ fees actually and reasonably incurred by him or her in connection with the defense or settlement of such action or suit if he or she acted under similar standards, except that no indemnification pursuant to NRS 78.7502 may be made in respect of any claim, issue or matter as to which such person shall have been adjudged by a court of competent jurisdiction, after any appeals taken therefrom, to be liable to the corporation or for amounts paid in settlement to the corporation, unless and only to the extent that the court in which such action or suit was brought or other court of competent jurisdiction determines that, in view of all the circumstances of the case, such person is fairly and reasonably entitled to indemnity for such expenses as the court deems proper. NRS 78.751(1) provides that a corporation shall indemnify any person who is a director, officer, employee or agent of the corporation, against expenses actually and reasonably incurred by the person in connection with defending an action (including, without limitation, attorney’s fees), to the extent that the person is successful on the merits or otherwise in defense of any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative, including, without limitation, an action by or in the right of the corporation, by reason of the fact that the person is or was a director, officer, employee or agent of the corporation, or is or was serving at the request of the corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise or as a manager of a limited liability company, or any claim, issue or matter in such action.

The Registrant’s articles of incorporation permit indemnification of, and advancement of expenses to, the Registrant’s directors, officers and other agents, and any other persons to which applicable law permits the Registrant to provide indemnification, to the fullest extent permitted by applicable law, including the NRS.

The Registrant has entered into indemnification agreements with its directors and officers, whereby the Registrant has agreed to indemnify the directors and officers to the fullest extent permitted by law, including indemnification against expenses and liabilities incurred in legal proceedings to which the director or officer was, or is threatened to be made, a party by reason of the fact that such director or officer is or was a director, officer, employee or agent of the Registrant, provided that such director or officer is not liable pursuant to NRS 78.138 or acted in good faith and in a manner that the director or officer reasonably believed to be in, or not opposed to, the best interests of the Registrant (and with respect to any criminal action or proceeding, had no reasonable cause to believe that his or her conduct was unlawful). At present, there is no pending litigation or proceeding involving a director or officer of the Registrant regarding which indemnification is sought, nor is the Registrant aware of any threatened litigation that may result in claims for indemnification.

The Registrant maintains insurance policies that indemnify the Registrant’s directors and officers against various liabilities arising under the Exchange Act that might be incurred by any director or officer in his or her capacity as such.
