MARKET ANNOUNCEMENT

Pre-Reinstatement Disclosure - Share Capital Structure

We confirm that the Company's Prospected dated 23 December 2005 (Prospectus) closed on 3 February 2006 with applications received in respect of full subscriptions of 7,500,000 shares, raising gross proceeds of $1,500,000.

We confirm that 7,500,000 fully paid ordinary shares were allotted to applicants on 9 February 2006 and updated Issuer Sponsored Holding Statements and notices to CHESS Sponsored holders will be despatched to applicant shareholders later today.

The Company has sought quotation of the 7,500,000 Prospectus shares issued (pursuant to an Appendix 3B (New issue announcement, application for quotation of additional securities and agreement) lodged with ASX on 9 February 2006.
